Terms of Service

1. About CITRA Insight

CITRA Insight is provided by Code & Clause Systems, a sole proprietorship based in Bhopal, Madhya Pradesh, India.

CITRA Insight helps organisations discover software installed across their IT environment and assess technical indicators that may require further software licence review.

2. What CITRA Does

CITRA Insight provides technical information and analysis to help organisations understand their software environment and licensing position.

The service may identify:

• Software installations
• Software versions and publishers
• Activation and licensing indicators
• Potential licence gaps
• Potentially unused software
• Indicative financial exposure

3. Use of the CITRA Collection Utility

The customer is responsible for obtaining the necessary internal authorisation before running the CITRA collection utility.

The utility must only be run on machines owned by, controlled by, or otherwise authorised for assessment by the organisation purchasing the service.

The customer is responsible for ensuring that its use of CITRA complies with its internal policies and any applicable law.

4. Fees and Payment

CITRA Insight is provided as a one-time assessment engagement.

The engagement includes:

• A defined number of machines agreed at the time of quotation
• Collection and processing of the relevant technical information
• Analyst review of the findings
• Delivery of the resulting assessment report in PDF and Excel format

There is no monthly subscription and no recurring platform charge.

The assessment fee is quoted in advance based on the scope and size of the environment.

Payment may be made through the payment methods made available by CITRA Insight, including Razorpay-supported methods such as UPI, cards and net banking.

5. Scope of the Engagement

The quoted fee applies to the machines and scope agreed when the engagement is purchased.

If the customer wishes to assess additional machines or expand the scope, those machines or services may require a revised quotation.

The customer should therefore provide an accurate estimate of the environment when requesting a quote.

6. Cancellation and Refunds

Our Refund & Cancellation Policy forms part of these Terms.

In summary:

• Scan data should be submitted within 30 days of payment.
• If the scan data is not submitted within that period, the engagement may lapse and the fee will not be refundable.
• If the customer cancels after scanning has started but before delivery of the report, 10% of the fee will be refunded. The remaining 90% covers work already performed.
• Once the report has been delivered, the engagement fee is non-refundable.
• If we are unable to deliver the report because of a technical failure attributable to us, we will re-run the assessment at our own cost.

7. Data Protection

We handle customer and assessment information in accordance with our Privacy Policy and applicable data protection requirements.

8. Limitation of Liability

CITRA Insight provides technical information and analysis based on the information collected from the assessed environment and the records supplied by the customer.

The service is provided on an "as is" basis.

Code & Clause Systems is not responsible for decisions made solely on the basis of CITRA findings, including licensing, procurement, legal or financial decisions.

Nothing in these Terms limits liability to the extent such limitation is not permitted under applicable law.

9. Governing Law

These Terms are governed by the laws of India.

Subject to applicable law, disputes arising from these Terms or the CITRA Insight service shall be subject to the jurisdiction of the courts in Bhopal, Madhya Pradesh.
